Ledger § III / Definitions
How we count- Capital Deployed
- The partners' own cash equity put into the companies at close. Cost basis, not a mark. It excludes seller financing, earnout, and any future value assigned to the businesses. It is not AUM. We do not manage outside capital.
- Combined Revenue
- The sum of the trailing twelve months of revenue for every company in the portfolio, measured at the time of acquisition. Revenue is the top-line sales figure before any costs.
- Net Earnings
- What is left after a company pays its operating costs, taxes, and owner compensation. It is the real cash the business produces for its owner each year.
- Blended Margin
- Combined net earnings divided by combined revenue, expressed as a percentage. It shows how many cents of profit the portfolio keeps from every dollar of sales.
- Bank Debt
- Money borrowed from banks or lenders to finance acquisitions. Ours is zero. Deals are structured with cash at close, seller financing, and earnout, tailored to the owner, so operators inherit a clean balance sheet on day one.
